Terms of Service.

Effective April 17, 2026. Specific engagements override these terms where an SOW states otherwise.

Welcome to Revify Agency ("Revify," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and deliverables. By using our website or engaging our services, you agree to these Terms.

1. Services

Revify provides marketing, advertising, creative, and related agency services ("Services"). The specific scope, deliverables, timeline, and fees for each engagement will be defined in a separate proposal, statement of work, or written agreement ("SOW"). If there is a conflict between an SOW and these Terms, the SOW controls.

2. Eligibility

You must be at least 18 years old and authorized to enter into a binding agreement on behalf of yourself or the entity you represent.

3. Client Responsibilities

You agree to:

  • Provide timely access to accounts, assets, content, and information needed to perform the Services.
  • Review and approve deliverables within agreed timelines.
  • Ensure all materials you provide are accurate and do not infringe any third-party rights.
  • Comply with applicable laws and platform policies (e.g., Meta, Google, TikTok).

4. Fees and Payment

  • Fees are stated in the SOW or invoice.
  • Unless otherwise stated, invoices are due within 7 days of receipt.
  • Late payments may accrue interest at 1.5% per month or the maximum allowed by law.
  • Ad spend, software subscriptions, and third-party fees are not included unless specified.
  • All fees are non-refundable except as expressly provided in the SOW.

5. Term and Termination

  • Engagements continue until completed or terminated per the SOW.
  • Either party may terminate for material breach if not cured within 14 days of written notice.
  • Upon termination, you will pay for all Services performed and expenses incurred through the termination date.

6. Intellectual Property

  • Pre-existing IP: Each party retains ownership of its pre-existing materials.
  • Deliverables: Upon full payment, we assign to you ownership of final deliverables created specifically for you, excluding our proprietary tools, templates, processes, and know-how, which we retain and may reuse.
  • License to Revify: You grant us a license to use your name, logo, and non-confidential work product in our portfolio and marketing unless you opt out in writing.

7. Confidentiality

Both parties agree to keep each other's confidential information private and use it only to perform or receive the Services. This obligation survives termination.

8. Performance Disclaimer

Marketing results depend on many factors outside our control, including market conditions, platform algorithms, product-market fit, and client execution. We do not guarantee specific results, revenue, leads, ROAS, conversions, or rankings.

9. Warranties and Disclaimers

We will perform Services in a professional manner. Except as expressly stated, all Services and deliverables are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue.
  • Our total aggregate liability for any claim arising out of or relating to the Services will not exceed the fees paid by you to Revify in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Revify, its owners, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) content or materials you provide; (b) your products or services; (c) your violation of law or third-party rights; or (d) your breach of these Terms.

12. Third-Party Platforms

We may use third-party platforms (e.g., Meta, Google, Shopify, Klaviyo) on your behalf. We are not responsible for outages, policy changes, account suspensions, or other issues caused by those platforms.

13. Non-Solicitation

During the engagement and for 12 months after, you agree not to directly solicit or hire any Revify employee or contractor who worked on your account without our written consent.

14. Independent Contractor

Revify is an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship.

15. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, pandemics, internet or platform outages, or government actions.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to that jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or Services after changes means you accept the updated Terms.

18. Entire Agreement

These Terms, along with any applicable SOW, constitute the entire agreement between you and Revify and supersede all prior discussions.
